Terms of Service

1. Agreement

By creating an account or using Agba Vendor you agree to these terms. If you do not agree, please do not use the app.

2. The service

Agba Vendor lets you create receipts and invoices, record full and part payments, track outstanding balances and credit limits, keep a customer ledger, and prepare reminder messages. We are a software tool: we do not collect money from your customers on your behalf and we are not a bank, lender or payment processor.

3. Free trial, subscription and renewal

  • New accounts get a 31-day free trial with full access.
  • After the trial you need an active subscription to create new receipts, record new payments or send reminders. Your existing records always stay readable.
  • Subscriptions are billed in advance through Paystack. If automatic renewal is on, your saved card is charged for the same plan when the current period ends. You can switch automatic renewal off or remove your saved card at any time on the Billing page.
  • Fees are quoted in Nigerian Naira. Payments for a period already started are non-refundable except where Nigerian consumer law requires otherwise.

4. Your account

You are responsible for keeping your login details secure and for all activity on your account. You must be at least 18 years old and provide accurate business information.

5. Your content and your customers

You own the business, receipt and customer information you enter, and you grant us only the permission needed to store, process and display it back to you. You confirm that you have the right to store your customers’ details and that any reminder or receipt you send complies with applicable law. Receipts you issue are your own commercial documents; you are responsible for their accuracy, for your tax obligations and for honouring your stated return policy.

6. Acceptable use

You agree not to:

  • Issue false, fraudulent or misleading receipts or invoices.
  • Send abusive, threatening or harassing reminder messages.
  • Use the app for illegal goods or services, or to launder money.
  • Attempt to bypass the trial or subscription limits, reverse engineer the app, or disrupt its infrastructure.
  • Upload malware or content that infringes someone else’s rights.

We may suspend or close accounts that break these rules.

7. Availability

The app is offline-first, so most features keep working without internet. Even so, we provide the service “as is” and cannot promise uninterrupted availability. Please keep your own copies of important receipts — every receipt can be downloaded as a PDF.

8. Limitation of liability

To the maximum extent permitted by law, Agba Vendor is not liable for lost profits, lost sales, unrecovered debts or indirect losses arising from your use of the app. Our total liability is limited to the subscription fees you paid in the twelve months before the claim.

9. Ending your use

You can stop using Agba Vendor at any time and delete your account with all its data from Settings → Delete account or via our account deletion page. Deletion is permanent and cannot be undone.

10. Changes and governing law

We may update these terms; the date above shows the latest version, and continued use means you accept the update. These terms are governed by the laws of the Federal Republic of Nigeria.
